COMMERCIAL CONVEYANCING - PURCHASING

When purchasing commercial property special consideration needs to be given to a large number of issues including:

  • Does the use of the land comply with the Town Plan?
  • Are there existing leases?
  • Environmental matters

  • Capital Gains Tax

Before you sign a contract to purchase any commercial property (whether vacant or built on) contact us first. We can check the contract for you to identify and issues and make sure that you are protected as much as possible.

COMMERCIAL CONVEYANCING - SELLING

Seller's of commercial property have a number of obligations to meet under Local, State and Federal Government legislation.

The presence of asbestos in the building can cause problems if you have not complied with the relevant legislation. You may also need to address issues such as contaminated land and other environmental matters.

A further consideration is whether GST is payable and by whom. With our experience, we are able to provide answers to all of your questions.

COMPANIES

If you need a company in a hurry we are the people to see. We can provide you with a shelf company in the name of your choice within 24 hours of receiving instructions.

We are also able to amend your existing company (for example to change it to a sole director company or to amend or replace the constitution).

We can advise you on your duties and liabilities as a director of a company. It makes good business sense to contact us before you incorporate a company or plan any changes within a company.

TRUSTS

Your accountant has advised you that you should have a Trust? We can advise you on whether the Trust should be a discretionary trust or a unit trust and can explain the difference between the two. We can also advise you on whether you should have a corporate trustee.

We can have your Trust established with in 24 hours of receiving your instructions.

RETAIL LEASING

Most landlords require that retail shop tenants enter into a written lease. The terms of the lease can vary from lease to lease, however all retail shop leases are governed by the Retail Shop Leases Act.

If you don't have a written lease the landlord can give you written notice to leave on one month's notice. It is therefore equally as important that you, the tenant, have a written lease.

We can review the lease and explain it to you highlighting any pitfalls, and can seek amendments to the lease on your behalf to protect your interests.

We have acted for many landlords of retail shops.

COMMERCIAL LEASING

When leasing a building for commercial purposes, it is important that a thorough investigation be made of the building and improvements themselves and whether they comply with Local Authority by-laws and Government rules and regulations.

Our trained Lawyers who have expertise in commercial leasing can go through the Lease with you and conduct the appropriate searches to ensure that all of the Government rules and regulations are complied with before you enter the Lease.
